Terms and Conditions

Part I — General Terms

These Terms and Conditions govern access to and use of Stake-Only.org, its interfaces and associated services. Please read them carefully before connecting a wallet, delegating CRO, enabling Auto-Restake, joining the Loyalty Program or using any other interactive functionality.

Important risk notice. Cryptoassets are high-risk and volatile. Their value may fall rapidly and may become worthless. Staking rewards, Loyalty Program benefits, points, Premium status, treasury allocations and distributions are not guaranteed. You should not use assets that you cannot afford to lose.

Security notice. The Stake-Only team will never ask for your recovery phrase, private keys or passwords. It will never ask you to sign a transaction outside this site. It will never contact you first by direct message. Any such request is an attempt at fraud and should be reported on the official community channels.

Part II — Wallets and Blockchain

6. Wallet connection and address association

Stake-Only does not create a Wallet for you and does not provide or hold your private keys. You use compatible Wallets that you control.

Depending on the features used, the Platform may ask you to connect or associate a Cronos POS address, a Cronos EVM address, an address on another supported network, or another address required to receive or calculate a Reward. You represent that you have authority to connect or associate each such address.

7. Private keys and Wallet security

Kcalb Ltd will never require your seed phrase, recovery phrase or private key. You are responsible for protecting your Wallets, devices, private keys, recovery phrases, passwords and authentication methods.

Subject to any mandatory rights under applicable law, a transaction or signed message validly authorised through a Wallet may be treated as having been authorised by the person controlling that Wallet. You should review the network, address, amount, permissions and transaction data before signing.

8. Non-custodial nature of CRO delegation

When you delegate CRO to the Validator, the delegated CRO remains subject to the rules and mechanics of Cronos POS. Kcalb Ltd does not obtain a general discretionary right to transfer your delegated principal to an address of its choosing.

Delegation is not a bank deposit, savings account, loan to Kcalb Ltd or promise by Kcalb Ltd to repay a fixed fiat value. Nothing in these Terms should be interpreted as creating custody of delegated principal by Kcalb Ltd unless a future feature expressly states otherwise and is subject to separate terms.

9. Blockchain transactions and irreversibility

Blockchain transactions are subject to the rules, consensus mechanisms, fees, confirmation times, unbonding rules, congestion, upgrades, forks and technical limitations of the relevant network.

A transaction confirmed by a blockchain may be irreversible. Kcalb Ltd cannot cancel, reverse or recover a transaction where the relevant protocol does not provide that capability.

Part III — Validator and CRO Staking

10. Delegation to the Validator

The Platform allows users to delegate CRO to the Validator. Staking rewards, inflation, network parameters, unbonding periods and many other staking mechanics are determined by Cronos POS rather than by Kcalb Ltd.

Kcalb Ltd does not guarantee any reward rate, annual percentage rate, annual percentage yield or other return. Historical performance, current rates, projections and estimates are not promises of future performance.

11. Validator commission

The Validator may charge a commission on staking rewards in accordance with the public parameters and rules of Cronos POS. The applicable commission can be viewed through appropriate blockchain interfaces or explorers.

Where Kcalb Ltd controls the commission parameter, it may be changed in accordance with network rules. Material changes will be communicated in a reasonably transparent manner where practicable. Validator commission is separate from network fees incurred by user-initiated transactions.

12. Claim and manual compound

Where supported by the network, you may claim available staking rewards, manually compound rewards or re-delegate available CRO. These operations may require a blockchain transaction signed by you.

Unless the interface expressly states otherwise before the transaction, network fees for user-initiated Stake, Claim, manual Compound or Unstake transactions are payable by the user. Kcalb Ltd does not automatically receive those network fees.

13. Unstake and unbonding

Initiating an unstake is subject to the Cronos POS unbonding period. At the date of these Terms, the usual Cronos POS unbonding period is approximately 28 days, but this is a network parameter and may change independently of Kcalb Ltd.

Under the Cronos POS rules in force at the date of these Terms, during unbonding the relevant CRO are unavailable, earn no staking rewards and no longer count as delegated CRO for Loyalty Program calculations. An unbonding operation cannot be cancelled where the protocol does not permit cancellation.

14. Validator performance, jailing and slashing

Proof-of-stake networks may impose performance requirements, jailing, downtime penalties, minimum commission rules, slashing or similar mechanisms. These rules may be introduced, removed or changed by the network.

Kcalb Ltd uses reasonable efforts to operate the Validator reliably, but cannot guarantee uninterrupted performance or that the Validator will never be jailed, penalised or affected by a protocol event. Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability arising from Kcalb Ltd's own conduct where applicable law does not permit exclusion.

14A. Locking CRO for a fixed period

Cronos POS allows a delegator to lock CRO with a validator for a period set by the network, currently one, two or four years, in exchange for an additional reward paid by the network from a dedicated reward pool. The Platform lets you sign such a lock with the Validator. Locking is a feature of the Cronos protocol: its durations, bonus rates, minimum amount, reward pool and rules are set by the network, not by Kcalb Ltd, and may be changed through network governance.

A lock signed through the Platform has an end date fixed at signing, which is shown before you sign. Until that date, the locked CRO cannot be unstaked or returned to your available balance, and the lock cannot be ended early, by you or by Kcalb Ltd. From the end date, you may sign an unlock transaction: the CRO then immediately return to a normal delegation with the Validator and continue to earn staking rewards. If you then choose to unstake them, the usual unbonding period (section 13) applies before they return to your available balance.

Rates, bonuses and amounts displayed for a lock are estimates and are never guaranteed. The estimated rate combines the network staking rate after the Validator commission with the bonus announced by the network. Both vary with network parameters, including issuance, the total amount of CRO staked and the community tax, with the Validator commission and with the lock rules, and the bonus depends on the funds available in the network reward pool. Displayed or past rates do not predict future rewards, and values shown in a fiat currency depend on market prices.

Locked CRO remain subject to the risks of delegation described in these Terms, including jailing, slashing, protocol changes and a fall in the value of CRO. Rewards earned by a lock accrue on the network and must be claimed. Network fees for lock, claim and unlock transactions are charged to the signing address unless the interface states otherwise before the transaction. CRO locked with the Validator are counted for the Loyalty Program in the same way as delegated CRO, under the Program rules in force.

Part IV — Auto-Restake

15. Optional activation

Auto-Restake is optional. Enabling it requires you to grant the relevant on-chain or protocol-level authorisation presented by the Platform or Wallet. The exact scope of the authorisation is the scope shown when you approve it.

Enabling Auto-Restake does not transfer ownership of your delegated CRO principal to Kcalb Ltd.

16. Automated operations

While Auto-Restake is active, the system may automatically perform eligible claim and/or re-delegation operations without requesting a fresh signature for each cycle, to the extent permitted by the authorisation previously granted by you.

Scheduled or usual execution times are operational targets, not guarantees. An automated cycle may be delayed, skipped, retried or grouped because of network congestion, maintenance, insufficient rewards, technical thresholds, RPC issues, protocol changes, security concerns or other circumstances beyond Kcalb Ltd's reasonable control.

17. Auto-Restake network fees

Where the Platform states that network fees for an automated Auto-Restake operation are paid or sponsored by the Validator, you do not separately pay those network fees for that specific automated operation.

This does not create a permanent right to free transactions and does not apply automatically to user-initiated Stake, Claim, manual Compound, Unstake or other transactions. Kcalb Ltd may change the fee-sponsorship model prospectively, with appropriate notice for a material change where reasonably practicable.

18. Revocation and disconnection

You may disable Auto-Restake. Where Auto-Restake relies on an on-chain authorisation, the authorisation remains technically effective until it has been validly revoked or otherwise expired under the relevant protocol.

Disconnecting a Wallet from the website, logging out, deleting a public profile, leaving the Loyalty Program, closing a browser session or ceasing to visit Stake-Only is not necessarily the same as revoking an on-chain authorisation.

If you want automated operations to stop, you are responsible for completing the applicable revocation process shown by the Platform or required by the relevant protocol. Operations validly initiated before revocation takes effect may still be completed.

Part V — Loyalty Program Membership

19. Optional nature of the Loyalty Program

The Loyalty Program is voluntary. It is separate from CRO delegation and is intended to allocate conditional loyalty benefits and rewards among eligible Members.

Membership does not create a promise of a fixed yield, fixed reward, guaranteed token allocation or guaranteed fiat value.

20. Joining the Program

To join the Loyalty Program, you may be required to have an eligible CRO delegation, enable Auto-Restake, associate the required addresses, satisfy any supported-holdings criteria, accept the applicable rules and sign a Wallet message confirming membership.

Membership may be selected for the durations offered in the interface, currently ranging from one to five years. This is the validity period of the membership record; it does not lock your CRO, unlike a lock you sign separately under section 14A, and does not prevent you from leaving the Program earlier.

21. Membership duration does not freeze Program rules

A one-to-five-year membership duration does not guarantee that the Program rules, Roles, thresholds, coefficients, Premium criteria, supported assets, Treasuries, Partner Tokens, distribution formulas, network integrations or reward levels in force on the date you join will remain unchanged for the whole membership period.

Program parameters may evolve prospectively in accordance with these Terms. The selected membership duration is a period of eligibility to participate under the rules applicable from time to time, not a fixed-term investment contract with fixed economic terms.

22. Renewal and extension

Membership is not a paid subscription with automatic renewal. Where available, you may extend membership by signing a new message or completing another confirmation step.

Technical limits may apply to the frequency or number of extensions in order to prevent abuse or error. A valid extension adds time in accordance with the interface and does not shorten an existing expiry date.

23. Conditions for earning Points

Membership alone does not guarantee that Points will accrue. Eligibility may require an active CRO delegation, active Auto-Restake, valid membership, the required supported holdings and any other criteria displayed by the Program.

If Auto-Restake is a condition of Point eligibility and is not active at the relevant Snapshot, the Member should not expect Points for that period. A zero qualifying delegation may result in no Points and may cause membership to end where the published rules so provide.

Part VI — Points, Roles and Seniority

24. Nature of Points

Points are internal calculation units. They are not money, electronic money, a cryptoasset, a bank deposit, a transferable instrument, a directly withdrawable balance or a beneficial ownership interest in any Treasury.

Points are not freely transferable, sellable or exchangeable. Their purpose is to determine eligibility, ranking and/or relative participation in Program distribution mechanisms.

25. Three-stage reward status

The Program distinguishes between: (a) Points; (b) Pending Rewards or Pending Credits; and (c) Distributed Rewards.

Points do not create a debt owed by Kcalb Ltd. A Pending Reward is a provisional calculation that remains subject to the Program rules, validation and any permitted correction before transfer. A Distributed Reward is a Reward that has been validly sent on-chain and confirmed by the relevant network.

An estimated value shown in USD, EUR or another fiat currency does not convert Points or a Pending Reward into a debt denominated in that fiat currency. Unless expressly stated otherwise, the Reward is determined in units of the relevant cryptoasset, not as a guaranteed fiat amount.

26. Base Point calculation

Unless a specific campaign states otherwise, the Program may use the following base formula: Daily Points = qualifying delegated CRO x Role coefficient x Seniority coefficient.

The parameters actually used are those in force for the relevant Snapshot. The Account and Explorer may display the principal factors used in a Member's calculation.

27. Snapshots

Snapshots may measure delegated CRO, supported Core Token holdings, supported Partner Token holdings, supported liquidity positions, Auto-Restake status, membership validity, Role, Seniority, Premium eligibility and other published coefficients or bonuses.

Snapshot times are operational targets. If a data source is unavailable, delayed, inconsistent or manifestly incorrect, Kcalb Ltd may postpone, repeat or reconstruct a Snapshot using a reasonable method designed to preserve the integrity of the Program.

28. Roles

Roles may include Newbie, Holder, Bull and Whale, or successor labels adopted under these Terms. Roles may be based on the Member's supported Core Token holdings and may have different Point coefficients.

A Member may remain enrolled while having a zero or lower coefficient if the required holdings are not satisfied.

29. Dynamic thresholds

Certain thresholds may be defined by reference to a USD or other benchmark value and converted into token quantities using the market-data methodology selected by Kcalb Ltd. As a result, the quantity of INO, XTC or another supported asset required for a Role or benefit may increase or decrease from one Snapshot to another without any transaction taking place in the Member's Wallet.

Eligibility at one Snapshot does not guarantee eligibility at the next Snapshot.

30. Market-price sources and methodology

Kcalb Ltd may use one or more reasonable price sources or calculation methods, including decentralised exchanges, centralised data providers, aggregators, time-weighted average prices, oracles, liquidity-weighted prices, on-chain observations or another methodology reasonably suited to the relevant asset.

Kcalb Ltd is not required to use the exact price at which a particular Member could personally buy or sell an asset. Market prices may differ between venues, networks and liquidity pools.

Where a price is unavailable, manifestly erroneous, manipulated or unreliable, Kcalb Ltd may use the last reliable price, an alternative source, a composite price, defer the Snapshot or apply another reasonable integrity-preserving method.

31. Supported holdings and DeFi positions

Where technically supported, holdings calculations may include tokens directly held by an associated address, supported V2 liquidity positions, supported V3 NFT liquidity positions and other expressly recognised DeFi positions.

A token or position counts only if the Platform supports it and can reasonably identify and value the Member's economic exposure. Merely placing an asset into an unsupported smart contract, pool, wrapper or protocol does not create a right for that asset to be counted.

32. Seniority

Seniority rewards continuous valid membership and may be represented by levels, medals or coefficients such as Ruby, Emerald, Carnelian, Sapphire and Diamond, or successor labels.

Seniority is measured from the period of continuous membership recognised by the system. Prior use of Stake-Only does not preserve Seniority after a qualifying break in membership.

33. Loss of Seniority

Seniority may reset when a Member leaves the Loyalty Program, allows membership to expire or otherwise ceases to maintain continuous membership under the applicable rules.

Temporary loss of a Role or Premium status does not necessarily reset Seniority while the underlying membership remains valid, unless the rule for that feature expressly provides otherwise.

Part VII — Premium

34. Nature of Premium

Premium is an additional Loyalty Program status. It is not a separate investment product and does not guarantee a return, distribution frequency or minimum value.

35. Premium eligibility

Premium eligibility may require, simultaneously, a minimum amount of qualifying delegated CRO, minimum supported holdings of INO, minimum supported holdings of XTC, active membership and active Auto-Restake, together with any additional criteria published prospectively under these Terms.

Where thresholds are value-linked, the required token quantities may change with market prices.

36. Consecutive-Snapshot confirmation

To reduce the effect of temporary token movements or short-lived market fluctuations, Premium may require the criteria to be met over multiple consecutive Snapshots. Where two consecutive Snapshots are required, Premium is confirmed only after the second qualifying Snapshot.

37. Suspension and reactivation

If any Premium requirement ceases to be satisfied, access to Premium distributions may be suspended. Suspension does not automatically remove Loyalty Program membership, reset Seniority or reverse Distributed Rewards.

Premium may be restored when the criteria are again satisfied for the required number of consecutive Snapshots.

38. Premium Treasury

Premium Members may become eligible for conditional distributions from one or more Premium Treasuries. Such Treasuries may contain WBTC, other cryptoassets acquired or received by the Program, partner assets, or assets generated by additional supported strategies or activities.

The composition, value, size and future existence of a Premium Treasury are not guaranteed.

Part VIII — Treasuries and Distributions

39. Ownership and status of Treasury assets

Unless and until a Reward is validly distributed on-chain to a Member, assets held in or allocated to a Treasury are not owned by that Member merely because the Member has Points, a score, a ranking or an expected percentage of a future distribution.

No Member has a unit, share, beneficial ownership interest, trust interest, undivided property right, lien or other proprietary interest in a Treasury solely by virtue of Program participation. A Member's rights are limited to conditional eligibility for distributions determined under the Program rules.

40. Funding of Treasuries

Treasuries may be funded from one or more lawful sources, including a portion of Validator commission, assets received by the Program, partner contributions, treasury conversions, rewards or proceeds from supported positions or activities, and other sources incorporated into the Program from time to time.

No particular funding source creates an obligation on Kcalb Ltd to maintain a minimum Reward level.

41. Allocation of resources

Program resources may be allocated among Validator development or growth, Core Token mechanisms, XTC staking-related mechanisms, Premium, Partner Tokens, directly related technical or operational costs, security reserves and other Program purposes disclosed by Kcalb Ltd.

Allocation percentages and mechanisms may change prospectively for legitimate reasons including security, sustainability, market conditions, liquidity, development or regulatory requirements.

42. Treasury purchases, conversions and receipts

A Treasury may receive a cryptoasset directly, use existing inventory, convert one asset into another or defer a conversion until an operational threshold is reached.

Conversions are exposed to slippage, liquidity constraints, network fees, protocol fees, failed transactions and market movement. Kcalb Ltd does not guarantee an execution price or that a conversion will be possible at a particular time.

43. Distribution calculation and dilution

Distributions may be calculated pro rata by Points, scores or another published formula. A Member's share can decrease even if the Member's own position is unchanged, for example because other Members increase delegation, improve coefficients, become eligible or join the Program.

No Member is guaranteed a permanent percentage of any Treasury.

44. Pending Rewards

A Pending Reward is provisional until it is distributed on-chain. Before distribution, it may be adjusted or cancelled where permitted by these Terms, including for a manifest technical error, duplicate calculation, invalid Snapshot, fraud, prohibited activity, membership expiry or departure where the published rules provide for return of pending amounts to the applicable pool.

Kcalb Ltd will not use this provision to arbitrarily cancel a validly calculated Pending Reward without a basis under these Terms or applicable law.

45. Distributed Rewards

Once a Reward has been validly sent to the Member's designated address and confirmed by the relevant blockchain, it is treated as distributed to the holder of that address, subject to applicable law.

Leaving the Program later does not permit Kcalb Ltd to confiscate a properly Distributed Reward. This does not prevent Kcalb Ltd from exercising lawful remedies for fraud, a duplicated transfer, a manifest error or unjust enrichment.

46. Fiat-value displays

Any USD, EUR or other fiat value shown for Points, Pending Rewards, Distributed Rewards, Wallet holdings or Treasury assets is informational and may be based on a market-data source that differs from the price available to you.

Kcalb Ltd does not guarantee that a cryptoasset can be sold for the displayed fiat value, or that the fiat value will be the same when you receive, transfer or sell the asset.

47. Distribution timing

Kcalb Ltd aims to automate or process distributions according to the operational cycles displayed by the Platform. An advertised time or frequency is not an absolute guarantee.

A distribution may be delayed, grouped, retried or temporarily suspended for technical, security, liquidity, network, compliance or reasonable cost reasons. A reasonable operational delay does not, by itself, create a right to compensation.

Part IX — Partner Tokens and Communities

48. Partner-community program

Stake-Only may allow third-party projects or communities to apply for inclusion in Partner Token or partner-community mechanisms. Acceptance is discretionary and subject to review by Kcalb Ltd. Submitting an application does not create a right to acceptance.

49. Review of Partner Tokens

Kcalb Ltd may consider the project, team, token, smart contract, network, liquidity, community, reputation, technical risks, market integrity, regulatory risks and the availability of data required for integration. Kcalb Ltd may request additional information before deciding whether to accept or continue supporting a Partner Token.

50. Partner participation condition

A partner project may be required to maintain a specified amount or reference value of INO, XTC or another participation condition communicated before admission. Where the condition is value-based, the token quantity may be set or recalculated using the market conditions and methodology applicable at the relevant time.

The precise condition applicable to a project may be set out in a separate partner agreement or onboarding confirmation.

51. Addition, suspension or removal of a Partner Token

Kcalb Ltd reserves the right, at its discretion, to add a Partner Token to the Program or to remove one from it at any time. The Partner Tokens in force are those listed on the Platform.

Kcalb Ltd may suspend or remove a Partner Token from future calculations, purchases or distributions where reasonably necessary because of a rug pull, exploit, hack, honeypot behaviour, material security weakness, sanctions issue, fraud concern, market manipulation, disappearance of liquidity, uncontrolled migration, contract-address change, abandonment of the project, legal dispute, serious reputational risk or another material risk to users or the Platform.

Where urgent action is reasonably necessary to protect users, the Platform or comply with law, suspension or removal may take effect immediately and without waiting for an originally anticipated participation period to expire.

Suspension or removal does not ordinarily reverse Rewards already validly distributed.

52. Partner allocation methodology

Partner-community budgets may use a formula combining activity-weighted allocation with a common or minimum allocation component. Where a {split} mechanism is used, the current operational calculation is the one published by the Program for the relevant cycle.

The methodology may be changed prospectively in accordance with these Terms to improve sustainability, security, fairness or regulatory compliance.

53. No endorsement of Partner Tokens

Inclusion of a Partner Token does not mean that Kcalb Ltd guarantees or endorses its value, liquidity, security, team, project quality or future existence, and does not constitute a recommendation to purchase it.

Partner Tokens remain dependent on their own issuers, projects, smart contracts, markets and networks.

54. Separate B2B terms for partners

A project or business participating as a partner may be required to enter into a separate business-to-business agreement. If a partner agreement conflicts with these Terms on a matter that applies specifically to the partner relationship, the partner agreement prevails for that matter.

Part X — Profiles, Social Verification and Promotions

55. Public profiles

Members may be able to create or maintain a public profile containing a pseudonym, avatar, banner, biography, social links, Role, Seniority, Points, ranking, progress, Wallet address or shortened representation and other public Program information.

You are responsible for content that you choose to publish and for ensuring that you have the right to use it.

56. Prohibited profile content

unlawful, fraudulent, defamatory, threatening or harassing content;

content that infringes intellectual property, privacy or other rights of a third party;

malware, phishing material or content designed to compromise users;

impersonation of another person, organisation or project;

material promoting fraud, scams or prohibited activity.

57. Licence for user-provided profile content

You retain ownership of content that you provide. You grant Kcalb Ltd a non-exclusive, worldwide, royalty-free licence, limited to the period reasonably necessary for Platform operation and promotion of Stake-Only features, to host, technically reproduce, resize, display and transmit that content for those purposes.

This licence ends for future use when the content is deleted, subject to reasonable technical backups, cached copies, evidence preservation and legal retention requirements.

58. Social-account verification

Stake-Only may allow a Member to demonstrate control of a social-media account by publishing a generated verification code or completing another verification step.

A social verification badge means only that the Platform's verification mechanism was satisfied at the relevant time. Unless expressly stated otherwise, it is not KYC, proof of legal identity, endorsement by Kcalb Ltd or a guarantee that all statements made by that account are authentic.

A Member may also link a Discord, Google, LinkedIn, X or Crypto-Only account by signing in with that service. A linked account may provide a display name and a photo for the profile and lets the other KcalbApp sites recognise the Member. A link can be removed at any time from the Profile and is removed when the account is deleted.

A linked account also lets InoTimes (inotimes.com) recognise the Member: a "✓ Stake-Only" mark next to their name and comments there, and KCB for shared InoTimes articles, credited to the Discord account linked here for a post published from the X account linked here.

59. Promotions and bonus campaigns

Stake-Only may run temporary Point bonuses, community campaigns, social-engagement rewards or other promotions. Additional promotion-specific rules may apply.

No Member has a permanent right to a promotion or to its renewal. Kcalb Ltd may reject fraudulent, automated, duplicated or artificially manufactured participation.

KCB are the community points of the KcalbApp Discord. They may be received for linking Discord and for sharing on X or Crypto-Only a public post that is still online, with its Stake-Only link, when it is checked about an hour after it is claimed. KCB have no monetary value, cannot be exchanged for money, are not an investment and are not part of the Program's distributions. Kcalb Ltd may refuse, withhold or remove KCB obtained by abuse, and may change or end KCB at any time.

Part XI — Simulator and Financial Information

60. Simulator and estimates

The Platform may provide a simulator or estimated-value tools relating to delegation, compound, Points, Roles, Seniority, Premium, Partner Tokens or potential distributions. All results are illustrative only.

61. No guarantee of projections

A projection may use recent staking rates, recent Program activity, current market prices, current participant numbers, current Treasury parameters, assumed compounding, assumed dilution and other assumptions. These variables can change materially.

Actual outcomes may be substantially lower than a projection or may be zero. No chart, APR, annualised return, fiat equivalent, estimate or simulation is a contractual promise of performance.

Part XII — Cryptoasset and Technology Risks

62. General risk warning

Cryptoassets are high-risk, volatile assets. Their value can rise or fall rapidly and may become worthless or close to worthless. You should not use assets that you cannot afford to lose.

Past staking rewards or past Program distributions are not a reliable indicator of future rewards.

63. Specific risks

cryptoasset price volatility and loss of value;

low or disappearing liquidity and slippage;

smart-contract vulnerabilities, exploits or unexpected behaviour;

Wallet compromise, loss of keys or signing of a malicious transaction;

RPC, indexer, oracle, API or data-provider failure;

blockchain downtime, reorganisation, fork or protocol upgrade;

bridge failure, wrapped-asset risk or depeg;

token migration, contract replacement or unsupported token version;

abandonment, insolvency, fraud or failure of a third-party project;

slashing, jailing or other proof-of-stake network penalties;

network congestion and high transaction fees;

changes in law, regulation, tax treatment or sanctions regimes.

64. Cybersecurity incidents

No internet, blockchain or smart-contract system can be guaranteed to be immune from hacking, malicious activity, software vulnerabilities or infrastructure failures.

Kcalb Ltd may suspend a feature or distribution where reasonably necessary to investigate or contain a security incident. Kcalb Ltd is not responsible for incidents outside its reasonable control, subject to liability that cannot lawfully be excluded and subject to any duty of care that applicable law requires Kcalb Ltd to meet.

65. Third-party asset risks

Kcalb Ltd does not control the blockchains, smart contracts, bridges, markets or issuer teams of third-party assets. It does not guarantee that a Partner Token, wrapped asset or other third-party cryptoasset will continue to exist, remain secure, retain liquidity, remain transferable or maintain any value.

Part XIII — No Advice or Guaranteed Return

66. No personalised advice

Unless Kcalb Ltd expressly offers a separately authorised service, information made available through Stake-Only is general technical and factual information. It is not personalised financial, investment, tax or legal advice and does not take account of your individual circumstances.

67. No guaranteed return

Delegating CRO, enabling Auto-Restake, holding INO or XTC, obtaining a Role, maintaining Seniority, qualifying for Premium, accumulating Points or holding a Partner Token does not guarantee any fixed monetary return or minimum Reward.

68. No bank deposit or capital guarantee

Stake-Only is not presented as a bank account, deposit account, capital-guaranteed savings product or mechanism guaranteeing repayment of a fiat amount. Regulatory protections for cryptoassets may differ substantially from those available for traditional financial products.

Part XIV — Tax, Sanctions and Compliance

69. Tax

Staking, claiming, compounding, receiving, holding, transferring, swapping or disposing of cryptoassets may have tax consequences. You are responsible for identifying, reporting and paying taxes applicable to you and for keeping appropriate records.

Kcalb Ltd does not provide individual tax advice.

70. Legal and regulatory compliance

Kcalb Ltd may take measures reasonably necessary to comply with applicable law, regulation, court orders, sanctions, anti-money-laundering obligations, regulatory directions or lawful requests from competent authorities.

Measures may include geographic restrictions, feature suspension, additional verification, address screening, record retention, refusal or delay of a distribution where legally required, or disclosure of information where disclosure is lawfully required.

71. Sanctions and blockchain screening

Kcalb Ltd may use blockchain analytics, sanctions lists and other risk-screening tools. A Wallet or transaction may be restricted or referred for review where there is a reasonable legal or compliance concern.

Kcalb Ltd is not required to complete a transfer or distribution where doing so would reasonably expose Kcalb Ltd to a breach of law, sanctions or a binding regulatory requirement.

72. Regulatory change

Cryptoasset regulation is evolving. If a legal or regulatory change affects Stake-Only, Kcalb Ltd may introduce additional verification, modify or restrict a feature, suspend an asset or network, change the Program structure, cease a feature or require renewed acceptance of terms.

Where reasonably practicable, material changes will be notified in advance. An urgent change required by law, a regulator or a serious security risk may take effect immediately.

Part XV — Abuse, Sybil Activity and Security

73. Prohibited use

fraud, money laundering, sanctions evasion or other unlawful activity;

knowingly exploiting a vulnerability or technical error to obtain an unintended benefit;

manipulating a price, Snapshot, oracle, data source, liquidity pool or Program calculation;

unauthorised access to systems, credentials, databases or infrastructure;

malware, denial-of-service, phishing or other attacks against the Platform or users;

false social verification, impersonation or deceptive account activity;

knowingly retaining duplicated or fraudulently obtained distributions.

74. Multiple Wallets, Sybil activity and artificial fragmentation

Holding or using more than one Wallet is not, by itself, prohibited. However, Kcalb Ltd may treat multiple Wallets as related, or exclude them from a promotion or calculation, where there is reasonable evidence that they are being used principally to circumvent limits, fabricate community activity, multiply a one-per-user benefit, manipulate rankings or Snapshots, conduct wash activity or otherwise obtain an unintended advantage.

Kcalb Ltd may use reasonable on-chain and off-chain indicators to identify coordinated abuse. Legitimate asset management across multiple Wallets is not automatically a violation.

75. Suspension and investigation

Where Kcalb Ltd reasonably suspects fraud, exploitation, a material breach of these Terms, a serious security risk or a legal/compliance issue, it may temporarily suspend affected features or Pending Rewards while carrying out a proportionate review.

Where reasonably possible and legally permitted, Kcalb Ltd will provide information about the reason for a material restriction.

76. Legitimate user activity

Buying, selling or moving your own cryptoassets, changing your delegation, adding or removing liquidity, changing supported holdings or leaving the Program does not, by itself, constitute abuse. Anti-abuse provisions are directed at fraudulent or manipulative conduct, not legitimate use of assets that you own.

Part XVI — Leaving the Program and Account Deletion

77. Voluntary departure

A Member may leave the Loyalty Program using the available function. Leaving does not automatically unstake CRO, close a Wallet, reverse a confirmed blockchain transaction or revoke a separate Auto-Restake authorisation.

78. Consequences of leaving

active participation in the Loyalty Program ends;

Seniority ends and may reset for any future re-entry;

current-period Points may reset in accordance with the published Program rules;

Pending Rewards not yet distributed may return to the relevant community pool or Treasury where the Program rules so provide;

Distributed Rewards remain distributed, subject to lawful remedies for fraud, duplication or manifest error;

CRO delegation remains active until the user separately initiates an unstake;

Auto-Restake may continue until the relevant authorisation is separately revoked or expires.

79. Membership expiry

Membership that reaches its expiry date without renewal ends automatically and may have the same Program consequences as voluntary departure. You are responsible for monitoring the expiry date shown in your Account.

Stake-Only may provide reminders but does not guarantee that a reminder will be delivered or received.

80. Rejoining

A former Member may rejoin if the then-current entry conditions are satisfied. A technical waiting period may apply; where the Platform uses a 24-hour waiting period, that period is an operational rule and may be updated prospectively.

A new membership starts a new Seniority period unless the Platform expressly provides otherwise.

81. Account or profile deletion

Where the Platform provides profile deletion, deletion may remove or dissociate profile data such as pseudonym, avatar, banner, biography and social links, subject to technical backups, anti-fraud evidence and legal retention obligations.

If the Platform is designed so that profile deletion also exits the Loyalty Program, the Program consequences of leaving apply.

82. What account deletion does not do

Deleting a Stake-Only profile does not delete public blockchain transactions, automatically unstake CRO, reverse an unbonding transaction, close your external Wallet or necessarily revoke an on-chain Auto-Restake authorisation.

You must separately manage any blockchain authorisation or staking position that you wish to terminate.

Part XVII — Service Availability and Changes

83. Availability

Kcalb Ltd aims to provide a reliable service but does not guarantee uninterrupted, error-free or vulnerability-free availability, compatibility with every Wallet, continued support for every Blockchain, or accessibility in every jurisdiction.

Planned or emergency maintenance may be required.

84. Changes to Platform features

Stake-Only is an evolving service. Kcalb Ltd may prospectively change supported networks, Wallets, assets, price sources, Snapshot methods, technical schedules, Roles, coefficients, Seniority levels, thresholds, Premium criteria, Treasuries, Partner Tokens, formulas, user-interface features and other operational parameters.

A change will not be used arbitrarily to confiscate a properly Distributed Reward.

85. Reasons for change

Changes may be made for legitimate reasons including security, fraud prevention, market conditions, liquidity, sustainability, user fairness, technical development, protocol changes, regulatory requirements, new products or discontinuation of a third-party dependency.

86. Notice of material changes

Material Program changes may be announced on Stake-Only, in the Account, through the Explorer, in operational documentation or through official communication channels.

Where reasonably practicable, a materially adverse prospective change will be announced before it takes effect. Urgent security, blockchain or legal changes may take effect immediately. A Member who does not accept a future change may leave the Loyalty Program and separately manage their CRO delegation.

Part XVIII — Third-Party Services and Protocol Events

87. Third-party dependencies

Stake-Only may depend on Cronos POS, Cronos EVM, other blockchains, Wallet software, RPC providers, blockchain explorers, decentralised exchanges, liquidity pools, bridges, smart contracts, market-data services, social networks and infrastructure providers that are not operated by Kcalb Ltd.

Kcalb Ltd is not responsible for the independent acts, omissions, terms or availability of those third parties, subject to any liability that applicable law does not permit Kcalb Ltd to exclude.

88. Forks, chain splits and protocol upgrades

If a supported Blockchain forks, splits or undergoes a material upgrade, Kcalb Ltd may determine which network, fork or implementation the Platform will support, acting reasonably with regard to security, operational feasibility, liquidity and legal requirements.

Kcalb Ltd is not required to support every fork, chain, duplicated asset or derivative asset created by a protocol event.

89. Token migrations and contract changes

A token issuer may migrate to a new smart contract, redenominate, swap, wrap or otherwise alter its token. Kcalb Ltd may update the supported contract or methodology where technically and legally appropriate, but does not guarantee support for every migration or migration deadline.

Users remain responsible for actions that a third-party issuer requires them to perform directly with that issuer or protocol.

90. Protocol airdrops and derivative assets

A protocol, Blockchain or token issuer may create airdrops, forked assets or other derivative rights. Participation in Stake-Only does not automatically entitle a Member to every such external asset.

Unless expressly announced by Kcalb Ltd, any decision to support, claim, distribute, ignore or decline an external protocol airdrop or derivative asset is at Kcalb Ltd's reasonable discretion, taking into account custody structure, technical feasibility, legal risk, security and cost.

91. External links

The Platform may link to third-party websites or applications. A link does not constitute an endorsement or guarantee. You should review the third party's own terms, privacy policies and risk information before using its service.

Part XIX — Intellectual Property and Data Use

92. Kcalb Ltd intellectual property

Except where stated otherwise, intellectual property rights in the Stake-Only brand, original interface design, original texts, graphics, proprietary databases, site structure, original software and other materials created by or for Kcalb Ltd are owned by Kcalb Ltd or used under licence.

Using the Platform does not transfer those rights to you.

93. Open-source software and public blockchain data

Parts of the ecosystem may use or interact with open-source software, protocols, libraries or smart contracts. Those components remain subject to their respective licences.

Nothing in these Terms claims exclusive ownership of raw public blockchain data or third-party open-source software that Kcalb Ltd does not own.

94. Scraping, bots and database extraction

You must not use automated tools in a manner that materially disrupts the Platform, circumvents rate limits, attempts unauthorised access, copies protected database structure or enriched proprietary data at scale, or imposes a disproportionate load on Kcalb Ltd infrastructure.

This restriction does not prohibit legitimate access to public blockchain data from the underlying Blockchain itself or reasonable use of any public API that Kcalb Ltd expressly makes available under its published rules.

Part XX — Liability

95. Standard of care and mandatory rights

Kcalb Ltd will provide the Platform with the level of care and skill required by applicable law. Nothing in these Terms excludes or limits a right or liability that cannot legally be excluded or limited.

96. Events outside Kcalb Ltd's reasonable control

Subject to applicable law, Kcalb Ltd is not responsible for loss caused directly by events outside its reasonable control, including blockchain outages, forks, attacks on third-party protocols, failures of third-party Wallets or RPC providers, bridge failures, compromise of a third-party smart contract, loss of a user's private keys, user transactions to an incorrect address, protocol-imposed penalties, regulatory restrictions or force majeure events.

97. Market losses

Kcalb Ltd is not responsible for market-price decreases in CRO, INO, XTC, WBTC, a Partner Token or another cryptoasset, or for the inability to sell an asset at a particular price or at all.

98. User errors

Subject to mandatory user rights, Kcalb Ltd is not responsible for loss caused by a user signing an incorrect transaction, using the wrong network, disclosing private keys or recovery phrases, connecting to a fraudulent website, using a compromised Wallet or sending assets to an incompatible address.

99. Business losses

Where you use Stake-Only as a consumer, Kcalb Ltd is not responsible for purely commercial losses that were not reasonably foreseeable in the context of personal use, including business revenue, professional profits or business opportunity.

Business users and partner projects may be subject to separate B2B limitation-of-liability provisions.

100. Liability that is not excluded

Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence where exclusion is prohibited, violation of mandatory consumer rights, or any other liability that applicable law does not allow to be excluded or limited.

Part XXI — Errors, Corrections and Disputes over Calculations

101. Manifest technical errors

Automated systems may occasionally produce an error affecting a price, Snapshot, coefficient, displayed balance, Point total, eligibility calculation or distribution amount. Kcalb Ltd may correct an objectively identifiable technical or calculation error.

A value that is manifestly erroneous does not automatically create a contractual obligation to pay that erroneous amount.

102. Erroneous or duplicate distributions

If a blockchain distribution is duplicated, fraudulently obtained or made because of a manifest technical error, Kcalb Ltd may, to the extent permitted by law, contact the recipient, request repayment, correct internal records or offset the error against future distributions after appropriate notice where lawful.

This clause does not permit Kcalb Ltd to reverse or re-characterise valid distributions arbitrarily.

103. Raising a calculation query

If you believe a Snapshot, Point balance, eligibility status or Pending Reward has been calculated incorrectly, you should contact Kcalb Ltd promptly and provide the relevant Wallet address, transaction hash, date and description of the issue. Kcalb Ltd may review the relevant on-chain and internal records and correct a verified error.

Part XXII — Public Blockchain Data and Transparency

104. Public blockchain records

Public blockchains may permanently record Wallet addresses, transactions, amounts, blocks, timestamps, smart-contract interactions and other information. Kcalb Ltd generally cannot erase information recorded by an independent public Blockchain.

105. Explorer transparency

The Explorer may make certain Validator, Treasury, transaction, distribution, Point, ranking, Snapshot, pseudonym or profile information public in order to support transparency and verification of Program activity.

The treatment of personal data is governed separately by the Stake-Only Privacy Policy.

Part XXIII — Changes to These Terms

106. Updating these Terms

Kcalb Ltd may update these Terms where reasonably necessary to reflect a change in Stake-Only, add a new feature, improve clarity, correct an error, address security concerns, respond to a Blockchain change, comply with law or adapt to regulatory requirements.

The publication copy will state its effective or last-updated date.

107. Material changes

Where a change materially affects a Member's rights or obligations, Kcalb Ltd will provide reasonable advance notice where practicable. Renewed acceptance may be required.

A change will not be used to retroactively cancel a properly Distributed Reward except where required by law or where fraud, duplication or a manifest error applies. If you do not accept updated Terms, you may stop using the affected feature and leave the Loyalty Program.

Part XXIV — Suspension or Discontinuation of Stake-Only

108. Suspension or discontinuation of a feature

Kcalb Ltd may suspend or discontinue a feature where continued operation becomes technically impossible, economically disproportionate, unsafe, unlawful, incompatible with a supported protocol, dependent on a discontinued third-party service or otherwise unreasonable to maintain.

Where reasonably practicable, users will be given advance notice. Emergency security or legal circumstances may require immediate action.

109. No right to perpetual operation

Membership does not create a contractual right to perpetual operation of Stake-Only, the Validator, the Loyalty Program, Premium, any Treasury or any specific reward mechanism. Kcalb Ltd may lawfully discontinue all or part of the service in accordance with these Terms and applicable law.

110. Ending the Loyalty Program

If Kcalb Ltd permanently ends the Loyalty Program, it will, where reasonably practicable: (a) notify Members; (b) stop creation of new Points on a stated date; (c) determine and process distributions already definitively due under the applicable rules and available assets; (d) explain the treatment of Pending Rewards; and (e) leave users in control of their CRO delegation and external Wallets.

Ending the Loyalty Program does not transfer ownership of a user's delegated CRO to Kcalb Ltd and does not, by itself, unstake that CRO.

111. Sale, transfer or restructuring of the service

Kcalb Ltd may sell, transfer or restructure the Stake-Only business or relevant assets, subject to applicable law. Where contractual rights or obligations are transferred, the transfer will not unlawfully reduce mandatory consumer rights.

Part XXV — Legal Provisions

112. No partnership, employment, trust or general agency

Use of Stake-Only does not create a partnership, joint venture, employment relationship, fiduciary relationship, trust, or general agency relationship between Kcalb Ltd and a Member.

Use of the word "partner" for a community or token does not create a legal partnership under English law unless a separate written agreement expressly provides otherwise.

113. Assignment

You may not assign or transfer your personal Loyalty Program membership except where the Platform expressly permits it.

Kcalb Ltd may transfer its rights and obligations to an affiliate, successor or acquirer of the relevant business, provided that the transfer does not unlawfully reduce mandatory rights that apply to you.

114. No waiver

If Kcalb Ltd does not immediately enforce a right under these Terms, that does not mean Kcalb Ltd has waived the right.

115. Severability

If any provision is found invalid, unlawful or unenforceable, it will be applied to the maximum extent legally possible and the remaining provisions will continue in effect.

116. Entire agreement and hierarchy

These Terms, the Privacy Policy, the Cookie Policy and any feature-specific terms expressly presented to you form the contractual framework for use of Stake-Only. A partner project may also be subject to a separate B2B agreement.

Where specific terms for a feature conflict with these Terms, the specific terms prevail for that feature to the extent of the conflict.

Part XXVI — Governing Law and Disputes

117. Complaints and contact

If you have a problem with Stake-Only, you are encouraged to contact Kcalb Ltd first so that the matter can be reviewed and, where possible, resolved informally.

Contact: Kcalb Ltd, Balfour House, 741 High Road, Finchley, London N12 0BP, United Kingdom. Email: [email protected].

118. Governing law

These Terms are governed by the law of England and Wales.

If you are a consumer in a jurisdiction whose mandatory law gives you additional protections, this choice of law does not deprive you of protections that cannot lawfully be excluded.

119. Courts

Subject to mandatory consumer rights, the courts of England and Wales have jurisdiction over disputes arising from these Terms.

A consumer may have the right to bring proceedings in the courts of the country in which they live where applicable mandatory law provides that right. For business users and partner projects, unless a separate written agreement provides otherwise, the courts of England and Wales have exclusive jurisdiction.

Part XXVII — Language

120. Language and controlling version

Stake-Only may make these Terms available in more than one language. The English version is the official legal version.

Translations may be provided for convenience. If a translation differs from the English version, the English version prevails, except to the extent mandatory law requires otherwise.

Part XXVIII — Operator and Final Acknowledgement

121. Operator

Kcalb Ltd Company No. 14132246 Registered in England and Wales Registered Office: Balfour House, 741 High Road, Finchley, London N12 0BP, United Kingdom Email: [email protected] Website: Stake-Only.org

122. Final acknowledgement

By using an interactive Stake-Only feature and, where required, confirming membership or authorisation with your Wallet, you acknowledge that you have had access to these Terms and an opportunity to read them before using the relevant feature.

You also acknowledge that cryptoassets involve material risks; no return is guaranteed; Loyalty Program parameters may change prospectively; delegation, Auto-Restake and Loyalty Program membership are distinct mechanisms; leaving or deleting the Program does not automatically unstake CRO; and deleting a profile does not necessarily revoke an on-chain Auto-Restake authorisation.

Part XXIX — Additional Provisions

123. Force majeure

Neither party is responsible for a failure or delay in performance caused by an event beyond its reasonable control, including blockchain outage, network congestion, protocol fork, third-party infrastructure failure, cyber-attack, act of a public authority, regulatory intervention, natural disaster, war or civil disturbance.

Where such an event prevents performance, the affected obligation is suspended for the duration of the event. Kcalb Ltd will use reasonable efforts to resume normal operation and to inform users where practicable.

124. Survival

The provisions that by their nature are intended to survive termination continue to apply after a Member leaves the Loyalty Program, after an account is deleted, and after the Platform or a feature is discontinued.

These include the provisions on liability, intellectual property, indemnity, governing law, jurisdiction, language, and any clause expressly stated to survive.

125. Security and anti-fraud notice

Kcalb Ltd will never request a recovery phrase, a private key or a password, will never ask a user to sign a transaction outside Stake-Only, and will never initiate a private first contact.

A message making such a request is fraudulent, whatever it appears to be. Users should not respond and should report it on the official community channels.

126. Indemnity

To the extent permitted by law, and subject to mandatory consumer rights, you agree to hold Kcalb Ltd harmless from loss arising out of your unlawful use of the Platform, your breach of these Terms, your infringement of a third party right, or your provision of content that you were not entitled to publish.

This clause does not apply to loss caused by Kcalb Ltd’s own breach, negligence or unlawful conduct.
